Am I personally liable for my company’s debts?

I run a small business as a limited liability company. If the business cannot pay a supplier, can they come after my personal savings?

Generally, an LLC or corporation shields owners from the business’s debts. But there are common exceptions:

  • Debts you personally guaranteed, which many leases and loans require.
  • Situations where a court “pierces the veil,” for example because business and personal finances were mixed.
  • Certain unpaid taxes, such as payroll taxes, in some systems.

To keep the protection strong, use a separate bank account, sign contracts in the company’s name, and keep basic records.
